Shopify Gross Merchandise Volume Promotion

The Shopify Gross Merchandise Volume Promotion (“Promotion”) allows you to earn subscription credits based on your monthly gross sales (“Credits”). Subscription credits are issued in accordance with the terms below.

To participate, you agree to these terms, which become part of the Shopify Merchant Terms of Service (the “Shopify TOS”). Capitalized terms not otherwise defined here follow their definitions in the Shopify TOS.

Eligibility

  • Only Merchants who are invited to participate in the Promotion are eligible for the Promotion. Merchants must meet the following conditions:
    • Complete signup for a free trial by October 2, 2024,
    • Sign up for one of the Shopify service subscription plans while the Promotion is available: “Basic”, “Shopify”, “Advanced,” or “Retail Plan” (altogether “Qualifying Plans”);
    • Successfully pay for one billing cycle on a Qualifying Plan within 30 days of creating your Store to earn the Promotion;
  • You will no longer be eligible for the promotion if you: are no longer subscribed to a Qualifying Plan or go “inactive” during the Promotion Period; change your Store country; cancel your Merchant account or Store during the Promotion Period; are in violation of these terms; or you have reached the maximum amounts earned as specified below.

Earning the Promotion

  • Credit may be earned during the “Promotion Period.” The Promotion Period is a period of 6 months, beginning on the date you first select a Qualifying Plan. Sales that occur outside of the Promotion Period are not eligible to be included in the calculation of gross sales.
    • The Promotion Period consists of 6 payout periods. Total gross sales (“Gross Merchandise Volume”) will be summed for each payout period and used to calculate the Credit.
    • Gross Merchandise Volume represents the total dollar value of orders facilitated through the Shopify platform including certain apps and channels for which a revenue-sharing arrangement is in place in the period, net of refunds, and inclusive of shipping and handling, duty and value-added taxes.
  • Merchants may earn 1% back on Gross Merchandise Volume as a subscription credit over the Promotion Period, up to a maximum amount depending on the plan selected:
    • Basic Plan: up to a maximum of $5,000 (USD) back in subscription credits for $500,000 (USD) in gross sales;
    • Shopify Plan: up to a maximum of $7,500 (USD) back in subscription credits for $750,000 (USD) in gross sales;
    • Retail Plan: up to a maximum of $7,500 (USD) back in subscription credits for $750,000 (USD) in gross sales; or
    • Advanced Plan: up to $10,000 (USD) back in subscription credits for $1,000,000 (USD) in gross sales.
  • In calculating Gross Merchandise Volume, Shopify will convert all orders to USD to calculate the Credit amount. The Credit will be issued to your Shopify account in USD, and subsequently converted to your shop’s billing currency on the issuing day, if applicable.
  • Refunded orders will be deducted from the Gross Merchandise Volume calculation in each payout period. If Gross Merchandise Volume is negative for a payout period, that amount will be carried over into future payout periods.
  • If you switch plans during the Promotion, your earned Subscription Credits, including plan credit caps, will be based on your newly selected plan.
  • The Credit is deposited into your Shopify account on a monthly basis. The Promotion payment may take up to ten (10) days from the end of your monthly payout period to be applied to your Shopify account.
  • Any remaining Credits that are not applied to the current month’s subscription invoice will be carried over and apply to the next month’s subscription invoice.
  • You may earn the Promotion on up to a maximum of 3 Stores per Merchant account.

Redemption, Refunds, Transfers:

  • Redemption: Subscription Credits earned during the Promotion may be applied to any plan during and after the Promotion Period. Subscription Credits will be automatically applied to your upcoming Shopify Service Plan Subscription invoice. Any unused Subscription Credits will rollover into the next month’s invoice.
  • Non-Transferable, non-refundable: Subscription Credits are non-refundable, non-transferable, not valid for cash or cash equivalent, may not be combined with other offers, and must be used in the currency in which they were received. Subscription Credits can only be redeemed on upcoming Shopify Service Plan Subscription fees for Eligible Plans.
  • Expiration or termination: If you cancel your Merchant account or store, or if your account is “frozen” by Shopify (for example, for potential Shopify TOS violations, or failure to pay your Shopify bills), Subscription Credits expire after 60 days.

Other Fees, Taxes, Liability:

  • You remain responsible for all other Fees payable under the Shopify TOS, including, without limitation, foreign exchange fees and third-party transaction fees that are applicable when processing transactions using a third-party payment provider. (“Additional Fee”). You are not entitled to any promotion on any such Additional Fees.
  • You are responsible for any and all tax liability resulting from earning the Promotion.

General:

  • Eligibility; cancellations: Determinations of eligibility for this offer will be made in Shopify’s sole discretion. Shopify reserves the right to any remedy, including cancellation of your account or promotional credits, if fraud, tampering, technical errors, or violations of Shopify’s TOS are suspected.
  • Changes; Termination: Shopify reserves the right to cancel or change the Promotion or these terms at any time in its sole discretion.
  • Notice: Any notice provided by us with respect to these terms will be deemed provided the day it is posted on our website.
  • Governing law: These terms and this Promotion shall be governed by the laws of the Province of Ontario and the laws of Canada applicable therein.
  • Severability: If any provision in these terms is deemed invalid, void, or unenforceable, such provision (or the portion of it that is making it invalid, void or unenforceable) will be struck and not affect the validity of and enforceability of the remaining provisions.
