Shopify Credit Authorized User Terms
1. GENERAL
(a) “Cards'' refer to the business charge cards issued under the Shopify Credit Charge Card Program (the “Program”). These Cards are issued by Celtic Bank Corporation (the “Issuing Bank”), and are managed by Stripe, Inc. as the program manager for the Program (“Stripe”), and Shopify Capital Inc. as the provider of access to the Program (“Shopify”). When using the Cards you must comply with the requirements laid out in these Authorized User Terms.
(b) As used in these Terms, “we,” “us” and “our” refer to the Issuing Bank. “You” and “your” refer to the individual authorized by the Accountholder to receive and use a Card. The “Accountholder” refers to the individual (if the business is a sole proprietorship) or the business (if the business is a corporation or other legal entity) that participates in the Shopify Credit Charge Card Program and has a charge card account with the Issuing Bank (“Card Account”).
(c) When you use your Cards, you are using the Cards on behalf of the Accountholder. All expenses on your Cards are the responsibility of the Accountholder.
(d) These Authorized User Terms do not establish a contract or other legal relationship between you and us. This document constitutes a binding agreement between you and the Accountholder and the Accountholder is responsible for your compliance with these Authorized Terms, as well as your compliance with the Issuing Bank Charge Card Terms and the Shopify Credit Program Terms.
2. USING YOUR CARD
(a) Your physical Card must be activated prior to use. Your Accountholder will provide activation instructions to you. We or your Accountholder may apply limits to your Cards, such as spend limits.
(b) You may only use your Cards for business purchases on behalf of your Accountholder. You may not use your Cards for personal, family or household purposes or to make purchases that are not on behalf of your Accountholder. Your Cards remain the property of the Issuing Bank and must be returned upon request. We may cancel, revoke, repossess or restrict the use of your Cards at any time.
(c) You are not directly liable to us for your charges or other activity on your Cards. You will be able to view charges made using your Cards in your Staff Account. “Staff Account” refers to a staff account on the Shopify platform that allows the Accountholder to grant certain access and permissions to their Shopify account to you.
3. CARD SECURITY
You are responsible for securing your Cards, account numbers and card security features (including the CVV and PIN).
4. DATA PRIVACY
The Stripe Privacy Policy, the Shopify Privacy Policy and the Celtic Bank Privacy Policy describe how and for what purposes we process data (including personally identifiable information) in connection with your use of the Cards. By using your Cards, you consent to these policies.
5. PROHIBITED PERSONS
You represent and agree that you are not currently and will not become subject to a U.S. Office of Foreign Asset Control list, or any law, regulation, or other list of any government authority that prohibits or limits us from providing Cards to you or from otherwise conducting business with you.
6. CUSTOMER SERVICE
If you have questions about the Shopify Credit Charge Card Program or your Cards, please contact your Accountholder.
If you have a dispute with a merchant or seller regarding a charge on your Cards, you should first contact the merchant or seller to resolve the dispute. If such charge is not appropriately addressed with the merchant or seller, then your Accountholder must contact Shopify Support for assistance to submit a chargeback. Chargebacks can only be initiated by your Accountholder. You are not authorized to submit chargebacks. Please note that any disputed charges must be reported to Shopify Support within 90 days of being posted to your Accountholder’s Card Account.
Inform your Accountholder IMMEDIATELY and promptly lock your Card(s) via your Shopify Staff Account if you believe or reasonably suspect: (a) your Card(s) has been lost, breached or stolen, or (b) someone has gained unauthorized access to or use of your account credentials.
