Shopify Payments Rewards Promotion

The Shopify Payments Rewards Promotion (“Promotion”) allows you to earn certain Rewards (as defined below) that may be used as credits against your Shopify Plus Platform Fees. Each Reward is based on a percentage of your gross sales processed through Shopify Payments, paid to your Shopify account. Rewards are issued in accordance with the terms below.

To participate, you agree to be bound by these terms, which are incorporated by this reference into the Shopify Merchant Terms of Service (the “Shopify TOS”). Capitalized terms not otherwise defined here follow their definitions in the Shopify TOS, the Shopify Payments Terms of Service, or your Shopify Plus agreement, as applicable.

Eligibility

  • Merchants who are offered the opportunity to participate in the Promotion are eligible to earn the reward. Merchants must meet the following conditions:
    • Be a new merchant on Shopify (this Promotion is not available to any existing Shopify merchants)
    • Be eligible for and have a completed set up of Shopify Payments
    • Main Brand (participating in the Promotion) has a trailing 12 month gross merchandise value/total sales of less than or equal to $2M USD
    • Sign up for Shopify Plus before December 31, 2024. If you change to a non-qualifying plan or go “inactive,” during the Reward Period, you are no longer eligible for the Promotion.
    • Have their Store country set to the United States or Canada. Changes to Store country will result in ineligibility to earn the Rebate.
  • If you cancel your Merchant account or Store, or if your account is “suspended” or “locked” by Shopify (for example, for non-payment of Fees), you are no longer eligible for the Promotion.
  • You will no longer be eligible for the Reward if you: (i) become ineligible for Shopify Payments, (ii) are in violation of these terms, the Shopify TOS, or the Shopify Payments Terms of Service, or (iii) you no longer are subscribed to Shopify Plus during the Reward Period.

Reward

  • The Reward may be earned during the “Reward Period.” The Reward Period is a period of 12 months, beginning on the effective date of your Shopify Plus agreement. Sales that occur outside of the Reward Period are not eligible to be included in the calculation of gross sales processed by Shopify Payments. You are entitled to only one Reward (either the 1.5% Reward or the 2.0% Reward) which is based on the Initial Term of your Shopify Plus Agreement as follows:
    • IF YOUR SHOPIFY PLUS AGREEMENT INCLUDES A 1 YEAR INITIAL TERM CONTRACT LENGTH:
      • Merchants may receive a 1.5% reward on gross sales (up to a maximum of $1,200,000 USD in gross sales) made during the Reward Period that are processed through Shopify Payments (the “1.5% Reward”).
    • IF YOUR SHOPIFY PLUS AGREEMENT INCLUDES A 3 YEAR INITIAL TERM CONTRACT LENGTH:
      • Merchants may receive a 2% reward on gross sales (up to a maximum of $1,200,000 USD in gross sales) made during the Reward Period that are processed through Shopify Payments (the “2.0% Reward” together with the 1.5% Reward, the “Reward”)).
  • Rewards will not exceed the Shopify Payments Processing Fees paid to Shopify.
  • The Reward is calculated based only on gross sales of transactions processed using Shopify Payments.
  • The Reward is deposited into your Shopify account on a monthly basis. The Reward payment may take up to ten (10) days from the end of your monthly period to be applied to your Shopify account. The Reward will only be deposited to your account if your account is in good standing.
  • Customer sales refunds will be deducted from the Reward, and may be reflected in the next month’s Reward payout.
  • You may only apply the Reward as a credit to your Shopify Plus Platform Fees. The Reward cannot be used for any other Fees due or payable and is not valid for cash or a cash equivalent and is not refundable. Any remaining Rewards that are not applied as credits to the current month’s Shopify Plus invoice for Platform Fees will be carried over and apply as a credit to the next month’s Shopify Plus invoice for Platform Fees.
  • If you cancel your Merchant account or store, or if your account is “suspended” or “locked” by Shopify (for example, for non-payment of Fees), credits expire after 60 days.

Other Fees, Taxes, Liability:

  • You remain responsible for all other Fees payable under your Shopify Plus Agreement, the Shopify TOS, and the Shopify Payments Terms of Service, including, without limitation, foreign exchange fees and third-party transaction fees that are applicable when processing transactions using a third-party payment provider (“Additional Fee”). You are not entitled to any Reward on any such Additional Fees.
  • You are responsible for any and all tax liability resulting from earning the Reward.

Additional Terms Apply:

  • When using Shopify Payments, you are required to comply with the applicable Shopify Payments Terms of Service. Shopify reserves the right to cancel or terminate the Shopify Payments Reward for non-compliance with any of such terms.

General:

  • Eligibility; cancellations: Determinations of eligibility for this offer will be made in Shopify’s sole discretion. Shopify reserves the right to any remedy, including cancellation of your account or promotional Rewards, if fraud, tampering, technical errors, or violations of Shopify’s TOS or the Shopify Payments Terms of Service are suspected.
  • Non-Transferable, non-refundable: Rewards are non-refundable, non-transferable, not valid for cash or cash equivalent, may not be combined with other offers, and must be used in the currency in which they were received. Rewards can only be redeemed as credits against your upcoming Shopify Plus Platform Fees.
  • Changes; Termination: Shopify reserves the right to cancel or change the Promotion or these terms at any time in its sole discretion.
  • Notice: Any notice provided by us with respect to these terms will be deemed provided the day it is posted on our website.
  • Governing law: These terms and this Promotion shall be governed by the laws of the Province of Ontario and the laws of Canada applicable therein.
  • Severability: If any provision in these terms is deemed invalid, void, or unenforceable, such provision (or the portion of it that is making it invalid, void or unenforceable) will be struck and not affect the validity of and enforceability of the remaining provisions.
