Shopify Shipping Terms of Service

A. Shopify Shipping

1. You must read, agree with, and accept all of the terms and conditions contained in the Shipping Terms before you begin to use Shopify Shipping.

2. You agree to use Shopify Shipping in accordance with all procedures that may be provided to you by Shopify from time to time. If you do not agree with these procedures, then you are not permitted to use Shopify Shipping.

3. Depending on your location, Shopify Shipping provides you with access to purchase third-party shipping services (each, a “Third-Party Shipping Service” and collectively, the “Third-Party Shipping Services”) from certain third-party integrators (each, a "Third-Party Integrator" and collectively, the "Third-Party Integrators") and third-party shipping carriers (each, a “Third-Party Shipping Provider” and collectively, the “Third-Party Shipping Providers”) to assist you with the fulfillment of your Shopify orders.

4. Your use of Third-Party Shipping Services is subject to the terms and conditions of the applicable Third-Party Integrators and Third-Party Shipping Providers, and you are responsible for complying with those terms and conditions (the “Terms and Conditions). For convenience, a list of Third-Party Shipping Providers can be found here: Shopify Shipping carriers. Each Third-Party Shipping Provider's Terms and Conditions can be found on their respective page in the Shopify Help Center or on their website.

5. Popout, Inc., d.b.a Shippo (“Shippo”) is a Third-Party Integrator that allows for the purchase of Third-Party Shipping Services from certain Third-Party Shipping Providers (each, a “Shippo Carrier”). By using Third-Party Shipping Services from any Shippo Carrier, you are accepting and agreeing to be bound by the Shippo Terms of Use, which are in addition to the Shippo Carrier Terms and Conditions that apply to you.

6. Auctane, Inc. (“Auctane”) is a Third-Party Integrator that allows for the purchase of Third-Party Shipping Services from certain Third-Party Shipping Providers (each, an “Auctane Carrier”). By using Third-Party Shipping Services from any Auctane Carrier, you are accepting and agreeing to be bound by Auctane's Main Services Agreement, which is in addition to the Auctane Carrier Terms and Conditions that apply to you.

7. Easyship Fulfillment Services Ltd. (“Easyship”) is a Third-Party Integrator that allows for the purchase of Third-Party Shipping Services from certain Third-Party Shipping Providers (each, an “Easyship Carrier”). By using Third-Party Shipping Services from any Easyship Carrier, you are accepting and agreeing to be bound by the Easyship Terms of Service, which are in addition to the Easyship Carrier Terms and Conditions that apply to you.

8. For purposes of securing rates for Third-Party Shipping Services, you acknowledge and agree that Shopify may share with Third-Party Integrators and Third-Party Shipping Providers certain information regarding your Store, including but not limited to information related to your online store or physical retail location(s), and shipping and package level data related to your Shopify orders.

B. Your Responsibilities

1. Shopify serves only as an intermediary between you and the applicable Third-Party Integrator or Third-Party Shipping Provider, allowing you to purchase postage and print shipping labels (“Labels”). You are responsible for shipping to your customers. Shopify is not responsible in any event for picking up, transporting, delivering, or otherwise handling your shipments, or providing customer service to your customers.

2. Your use of a Third-Party Shipping Service is subject to rules, and you are responsible for complying with the rules applicable to that Third-Party Integrator or Third-Party Shipping Provider. Please refer to Section A of the Shipping Terms for the Terms and Conditions that govern your use of a Third-Party Shipping Service. You must comply with all applicable laws and regulations, including but not limited to local and international shipping and customs regulations.

3. Certain Shopify subscription plans may allow you to connect your own Third-Party Shipping Provider account with Shopify Shipping to offer your negotiated Third-Party Shipping Provider rates and purchase labels using your own Third-Party Shipping Provider rates in Shopify Shipping (“Your Third-Party Shipping Provider Account”). If you add a Third-Party Shipping Provider Account to Shopify Shipping, all fees, credits, refunds, and charges using Your Third-Party Shipping Provider Account will be between yourself and the respective Third-Party Shipping Provider. In the event that Shopify is invoiced or charged any fees, charges, duties, or taxes you owe to a Third-Party Shipping Provider in connection with Your Third-Party Shipping Provider Account, Shopify reserves all rights to charge or invoice you for the corresponding amounts. You are responsible to the Third-Party Shipping Provider for all purchases made using Your Third-Party Shipping Provider Account. Rates surfaced in checkout and for label purchases when you use Your Third-Party Shipping Provider Account are estimates only and may not accurately reflect the rates that you have obtained from the Third-Party Shipping Provider. Shopify is not responsible for the accuracy of rates at checkout or for label purchases where you use Your Third-Party Shipping Provider Account. Shopify can assist in connecting Your Third-Party Shipping Provider Account with Shopify Shipping, but Shopify is not responsible for support requirements that relate to Your Third-Party Shipping Provider Account, please contact the respective Third-Party Shipping Provider if you have any questions or issues with Your Third-Party Shipping Provider Account.

4. Depending on your location, Shopify provides you with access to purchase third-party shipping insurance ("Third-Party Shipping Insurance") administered by certain third-party insurance providers (each, a "Third-Party Insurance Provider"). All Third-Party Shipping Insurance purchased through Shopify Shipping is subject to the respective Third-Party Insurance Provider's terms and conditions. Where available, insurance claims may be submitted through your Shopify administrative console (the "Shopify Admin"). All insurance claims are determined by the Third-Party Insurance Provider, and they must be contacted with respect to any filed claim. Shopify is not a licensed insurance producer. Shopify may receive compensation from a Third-Party Insurance Provider in exchange for making the option to purchase parcel insurance available to you. Shopify's compensation is not dependent upon whether or not you elect to purchase insurance.

5. Any and all use of Shopify Shipping must be associated with Shopify orders. Labels may not be transferred or sold to a third party. You are permitted to charge or pass through your shipping costs to your customers at your discretion.

6. You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of Shopify Shipping, use of Shopify Shipping, or access to Shopify Shipping without the express written permission of Shopify. You may not use Shopify Shipping for any illegal or unauthorized purpose. You may not, in the use of Shopify Shipping, violate any laws in your jurisdiction or the laws of Canada or the Province of Ontario.

7. Shopify is not responsible or liable for any local customs charges, import taxes, duties, or other similar charges associated with your shipments. You are solely responsible for ascertaining whether such charges apply and making necessary arrangements for their payment. If any such charges become due as a result of your use of Shopify Shipping and are charged to Shopify by any competent authority, you agree to reimburse Shopify fully in respect of the same within seven (7) days of our demand.

C. Limitation of Liability; Disclaimer of Warranties

SHOPIFY PROVIDES ACCESS TO SHOPIFY SHIPPING ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SHOPIFY MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND REGARDING SHOPIFY SHIPPING. SHOPIFY DISCLAIMS ALL CONDITIONS AND WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, OR WARRANTIES THAT MAY ARISE BY USAGE OF TRADE, COURSE OF DEALING, OR COURSE OF PERFORMANCE. SHOPIFY SHALL HAVE NO LIABILITY WHATSOEVER ARISING FROM OR RELATING TO YOUR USE OF SHOPIFY SHIPPING, INCLUDING BUT NOT LIMITED TO ANY DIRECT, SPECIAL, EXEMPLARY, PUNITIVE, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER TANGIBLE OR INTANGIBLE LOSSES OF ANY KIND (INCLUDING BUT NOT LIMITED TO ANY LOSSES OR DAMAGES TO GOODS SHIPPED USING SHOPIFY SHIPPING), WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, ARISING OUT OF OR IN ANY WAY CONNECTED WITH SHOPIFY SHIPPING. IN NO EVENT SHALL SHOPIFY'S ENTIRE LIABILITY TO YOU EXCEED THE PRICE PAID BY YOU FOR SHOPIFY SHIPPING FOR THE GOODS TO WHICH YOUR CLAIM RELATES.

You agree to indemnify, defend and hold harmless Shopify, its Affiliates, and its and their respective employees, agents, suppliers, partners, officers, directors, independent contractors and service providers, from and against all claims, suits, demands, losses, liabilities, damages, penalties, costs, actions and proceedings, including reasonable attorneys' fees (collectively, “Claims”), to the extent that such Claim is based upon or arises out of: (i) your use of Shopify Shipping, including any fees applicable to your purchase of Labels; (ii) your breach of the Shipping Terms or the documents it incorporates by reference; (iii) your violation of any law or the rights of a third party; (iv) any data uploaded by you or on your behalf in connection with Shopify Shipping; or (v) any of your actions or omissions relating to Shopify Shipping. Any use by you of Shopify Shipping is entirely at your own risk and discretion.

D. Fees

1. Pricing for Shopify Shipping is set out in your Shopify Admin. You agree to pay the applicable fees for Shopify Shipping that are set out in your Shopify Admin, which are incorporated herein by reference (the “Shipping Fees”). You are responsible for any applicable Taxes (as defined in the Shopify Terms of Service) associated with the Shipping Fees.

2. The Shipping Fees will be added to your next Shopify invoice, which will appear on the account page in your Shopify Admin. You have approximately two (2) weeks after the receipt of a Shopify invoice to bring up and settle any issues with the Shipping Fees billed to that invoice.

3. Shopify will charge your payment method for the aggregate Shipping Fees you have incurred in connection with Shopify Shipping in accordance with your Shopify invoice. You authorize Shopify to charge the payment method used to pay for your Shopify account for any Shipping Fees in accordance with the Shipping Terms.

4. You will remain responsible for payment in the event your payment fails or we are otherwise unable to collect payment from you. If we are unable to collect payment from you for the invoiced Shipping Fees, you will not be able to continue using Shopify Shipping until such Shipping Fees are paid.

5. Any Shipping Fee credits for unused Labels must be requested from within the associated order within thirty (30) days after Label creation. Any credits applicable to Shopify Shipping will be applied to your Shopify account and may only be applied to the purchase of other services or postage through Shopify Shipping.

6. Labels may be audited by the applicable Third-Party Shipping Provider for weight, dimensions, mail class, package type and zip or postal code. If an audit reveals that the Label you purchased contains either insufficient or excess postage, or if additional Shipping Fees are incurred due to any other deliverability issues, additional Shipping Fees or credits may be applied to your Account. You will be able to review any adjustments on the Orders and Invoices pages of your Shopify Admin.

7. The Shipping Fees for Shopify Shipping may change or increase at any time. Shopify will not be liable to you or to any third party for any modification, price change, suspension or discontinuation of Shopify Shipping, or any part thereof.

E. General Terms

1. Shopify reserves the right to modify, suspend, or terminate Shopify Shipping or your ability to use Shopify Shipping at any time, for any reason, either with or without notice to you.

2. You acknowledge and agree that your use of Shopify Shipping, including information transmitted to or stored by Shopify, is governed by the Shopify Privacy Policy.

3. The Shipping Terms shall be governed by and interpreted in accordance with the laws of the province of Ontario and the laws of Canada applicable therein, without regard to principles of conflicts of laws.

4. The United Nations Convention on Contracts for the International Sale of Goods will not apply to the Shipping Terms and is hereby expressly excluded.

5. If the billing address of your Store is located in the United States or Canada, you irrevocably and unconditionally submit to the exclusive jurisdiction of the courts of the Province of Ontario with respect to any dispute or claim arising out of or in connection with the Shipping Terms.

6. If the billing address of your Store is located in the Asia Pacific region (including Australia, New Zealand, China, Japan, and Singapore), you irrevocably agree that the courts of Singapore are to have exclusive jurisdiction to settle any dispute which may arise out of or in connection with the Shipping Terms and that accordingly any proceedings arising out of or in connection with the Shipping Terms will be brought in such courts.

7. If the billing address of your Store is located in EMEA region or other jurisdictions not listed above, including Europe and Russia, the Middle East, Africa, South America, Caribbean, or Mexico, you irrevocably and unconditionally agree to submit to the jurisdiction of Irish courts, which have jurisdiction to settle any disputes which may arise out of or in connection with the validity, effect, interpretation or performance of the Shipping Terms and you similarly irrevocably and unconditionally waive any objection to any claim that any suit, action or proceeding has been brought by Shopify in any other jurisdiction.

8. The failure of Shopify to exercise or enforce any right or provision of the Shipping Terms shall not constitute a waiver of such right or provision. If a court finds any portion of the Shipping Terms to be unenforceable or invalid, that portion of the Shipping Terms will be enforced to the fullest extent permitted by applicable law and the remainder of the Shipping Terms will remain valid and enforceable.

9. You may not assign the Shipping Terms or any rights or obligations hereunder, whether by operation of law or otherwise, without our prior written approval and any such attempted assignment shall be void. We reserve the right to freely assign the Shipping Terms and the rights and obligations hereunder, to any third party without notice or consent. Subject to the foregoing, the Shipping Terms shall be binding upon and inure to the benefit of the parties hereto, their successors and permitted assigns.

10. The Shipping Terms, including the documents it incorporates or otherwise references, constitutes the entire agreement between you and Shopify regarding your use of Shopify Shipping and supersede any prior understandings regarding Shopify Shipping between you and Shopify.
