Shopify Store Set Up Promotion Terms

These terms (“Terms”) explain the eligibility criteria and redemption conditions for a program that enables certain Shopify Merchants to receive credits (the “App Credits”) that can be used on certain Apps distributed on the Shopify App Store (the “Promotion”).

By participating in the Promotion, you agree to be bound by these Terms and the Shopify Merchant Terms of Service (the “Shopify TOS”). Capitalized terms not otherwise defined here follow their definitions in the Shopify TOS.

1. Eligibility

  • Select Shopify Merchants who are on a free or paid trial may be eligible to participate in the Promotion. Merchants will be invited to participate within Shopify Admin.

2. How to Earn App Credits

  • “Eligible Plan” means the Shopify paid trial (upgraded from a free trial), Shopify Basic, Shopify, or Advance services plan.
  • Merchants may earn App Credits if: (a) the Merchant has been invited to participate in the Promotion through their Shopify Admin dashboard, (b) the Merchant completes the required store set up action as specified in the invitation, (c) the Merchant successfully pays for one billing cycle for an Eligible Plan, (d) and the Merchant’s store is compliance with the Shopify TOS (altogether, the “Earning Criteria”).
  • Store set up tasks that have been completed before the Merchant is invited to participate are not eligible to earn App Credit.
  • The promotion is subject to change at any time. Merchants must successfully complete the Earning Criteria while the Promotion is active.
  • Merchants may earn a maximum credit of 1 App Credit per Store, up to 5 Stores per Merchant account.

App Credits

  • The amount of App Credits to be awarded will be determined by Shopify in its sole discretion and shown at the time the Shopify Merchant is invited to participate in the Promotion.
  • App Credits are non-transferable, not valid for cash or cash equivalent, cannot be combined with other offers, and must be used in the currency in which they were received.
  • App Credits may take up to 7 days from the fulfillment of the Earning Criteria to be issued. Shopify will send an email (the “Notification Email”) to the Shopify Merchant notifying them that the App Credits have been issued.
  • App Credits will be applied to any Eligible App Transactions within the first twelve months after the date of the Notification Email. App Credits will not be retroactively applied to Eligible App Transactions purchased and paid for before the date of the Notification Email. Credits will be reflected in the Shopify Merchant’s bill for the period in which the Eligible App Transactions occur.
  • Eligible App Transactions include only app charges that are processed through the Shopify invoicing system, and do not include any app charges by partners processed outside of the Shopify invoicing system.
  • Shopify Merchants are responsible for any tax liability resulting from App Credits.
  • App Credits expire after 6 months if the Merchant pauses or after 60 days if the Merchant cancels their account.

Miscellaneous

  • Determinations of eligibility for this offer will be made in Shopify’s sole discretion. Shopify reserves the right to remedy, including denial of the App Credit if fraud, tampering, violations of Shopify’s TOS or technical errors are suspected.
  • Shopify reserves the right to cancel the Promotion or to change these Terms at any time in its sole discretion.
  • Any notice provided by us with respect to these Terms will be deemed provided the day it is posted on our website.
  • The Promotion is subject to modification or termination at any time without notice at Shopify’s sole discretion.
  • These Terms and this Promotion shall be governed by the laws of the Province of Ontario and the laws of Canada applicable therein.
